Overview

Leases of goods have existed for centuries, but until Article 2A was added to the Uniform Commercial Code in 1987, there was no coherent body of law to assist practitioners and judges in interpreting these contracts. Over 20 years after Article 2A was first adopted, many still do not understand how this article works. Many practitioners are unaware of this major addition to the Code and how it affects transactions such as leases of aircraft or other categories of capital equipment. Boss, a graduate of Bryn Mawr College and Rutgers Camden Law School, is a professor of law at Temple University School of Law, where she teaches in the commercial law, bankruptcy, and electronic commerce areas. Stephen T. Whelan is a partner in the New York office of law firm Blank Rome LLP, where he specializes in lease financings, secured lending, asset securitization and energy finance.
