OverviewThe regulation of the public limited liability company is to a very high degree similar in the five Nordic countries due to a tradition of co-operation and mutual deliberation when legislating within this area reaching back more than a century. This tradition of company law has resulted in a unique legal regime separate to the two main currents of modern Europe; that of the British common law and that of Germany. Among the interesting features is the separation of powers between a board of directors and a board of managers, both vested with executive powers and responsibilities but with the former as a controlling entity vis-a-vis the latter mandating a majority of out-side directors. Also looked upon is the dominant role of the general meeting of shareholders. These are both features now recognised as imperative to good corporate governance.
