Author Information

Andrea S. Kramer is a partner in the international law firm of McDermott Will & Emery LLP, resident in its Chicago office. She co-heads the Firm's Energy Services Group and heads its Financial Products, Trading & Derivatives Group. Ms. Kramer has focused her 30-year legal practice in the areas of energy, commodities, and derivatives law and taxation. She represents energy companies, public utilities, multinational businesses, financial service firms, power marketers, wind-power companies, commodity traders and dealers, and hedge funds on the full range of energy trading, contracting, and derivatives matters. She provides advice on the design, trading and risk management applications of commodities and financial products, devoting a substantial amount of her time representing taxpayers in contested tax matters with the IRS. She also provides advice on a wide range of transactional, regulatory, controversy, and tax matters, including advising her clients on the state and federal tax due diligence for the acquisition of physical and derivative contracts. Ms. Kramer works with her clients on establishing and conducting trading and hedging operations for natural gas, power, oil and energy credits, frequently negotiating purchase and sale agreements for physicals and derivatives (including ISDAs, EEIs, NAESBs, brokerage agreements, and customized structured transactions). Ms. Kramer is co-editor of and contributing author to Energy and Environmental Trading: U.S. Law and Taxation (Cameron May 2008). She is also the author of Financial Products: Taxation, Regulation, and Design (3d ed. 2006 & Supp. 2009), a three volume, 3,800 page treatise that she keeps current with annual supplements. As the leading treatise on financial products law, her book has been cited more than 60 times by the courts and tax commentators. She was co-editor-in-chief of CCH's quarterly Journal of Taxation of Financial Products for the first six years of its publication. Ms. Kramer has written nearly 120 articles and publications on topics ranging from operational and reputational risk in trading derivatives to insurance coverage to the use of derivatives to energy trading to corporate governance. Peter C. Fusaro is Chairman of Global Change Associates, a financial services advisory in New York and is the best selling author of What Went Wrong at Enron as well as 15 other books on energy and the environmental financial markets. He has been on the forefront of energy and environmental change for over 35 years, focusing on how to use energy more efficiently and in an environmentally benign manner. His current focus is on environmental financial market acceleration for carbon trading and finance, cleantech, and renewable energy markets. He holds the Wall Street Green Trading Summit in New York each spring. Mr. Fusaro is currently advising on carbon trading and finance to financial services companies worldwide. Mr. Fusaro has an MA from Tufts University and a BA from Carnegie-Mellon University.
