OverviewThis book deals with an interdisciplinary theme combining Corporate Governance with Information Science. Through a scoping review of appropriate literature, it identifies four types of business values which information technology triggers in business: Transactional, Informational, Strategic, and Integrative. The Directors should be aware of these nuances as the business ecosphere is now embedded in IT. The book thereafter points out two major challenges that the modern Boards encounter: the information asymmetry between executive management & Board and the evolving roles of the Board in the context of growing IT intensity of business. Backed with research publications on the subject during last decade, the book presents before its readers two propositions: the need for the Board to steer the digital transformation directly (and not delegate it to IT department) and the huge gap between the idea and action in the Board's digital practices. The book then positions conceptual framework of a Directors Information System (DIS) as a response to the above stated twin Board challenges. The later part of the Book is devoted to taking the concept to concrete applications. The DIS is proposed to be deployed in five modules: Board Decision, Compliance, Risk, Search and Business Insight. To establish the pragmatism and feasibility of the novel system, the later chapters unfold full details of implementation. The chapters in pairs deal with business requirements of each module, followed by respective functional requirements. Current Board portals have functionalities like management of board meetings and document. This book makes an evidence-based claim that they serve only a fraction of what the potential IT holds in the domain.
