English summary: Piercing the Corporate Veil in the People's Republic of China This book analyses the highly controversial requirements for piercing the corporate veil under Chinese law. Using a methodological pluralistic approach and focussing on a dogmatic analysis, it also considers the legal-historical perspective and forensic practice. The topic is of considerable practical and dogmatic importance, not least due to the judicial conference protocol published by the Supreme People's Court at the beginning of November 2019 and the codified extension of the scope of the piercing of the corporate veil doctrine through the reform of the Chinese Company Law at the end of December 2023. The practical relevance is also suggested by empirical studies in the past decade, according to which the People's Republic of China has a high application rate in international comparison. Finally, the book is also intended to provide general insights into the application of (civil) law in the People's Republic of China by analysing the legal status of the so-called judicial conference protocol. German description: Die Arbeit untersucht die hoch umstrittenen Haftungsvoraussetzungen der gesellschaftsrechtlichen Durchgriffshaftung im chinesischen Recht. Unter Verwendung eines methodenpluralistischen Ansatzes werden neben der schwerpunktmassigen dogmatischen Analyse auch die rechtshistorische Perspektive sowie die forensische Praxis beleuchtet. Nicht zuletzt aufgrund des vom Obersten Volksgericht Anfang November 2019 veroffentlichten justiziellen Konferenzprotokolls sowie der kodifizierten Erweiterung des Anwendungsbereiches des Haftungsdurchgriffes durch die Reform des Kapitalgesellschaftsgesetzes Ende Dezember 2023 ist das Thema von erheblicher praktischer und dogmatischer Bedeutung. Die praktische Relevanz legen auch empirische Studien der vergangenen Dekade nahe, wonach die Volksrepublik China eine im internationalen Vergleich hohe Durchgriffsrate verzeichne. Schliesslich soll die Monografie auch durch die Untersuchung der Rechtsstellung des sog. justiziellen Konferenzprotokolls allgemeine Erkenntnisse uber die (zivilrechtliche) Rechtsanwendung in der Volksrepublik China hervorbringen.

Author Information

Reiner Thieme studied law at the University of Heidelberg following a voluntary year of social service at the Department of Culture and Education of the German Consulate General Shanghai. During his one-year study abroad in Beijing with a longer interim stay in Taipei, he deepened his knowledge of the Chinese language and law (scholarship of the German Academic Scholarship Foundation and the Alfried Krupp von Bohlen und Halbach Foundation). After completing his First Examination in Law in 2018 and his legal clerkship at the Regional Court of Frankfurt am Main, he passed his Second State Examination in Law in 2020. He obtained his doctorate from the University of Freiburg in 2023. Reiner Thieme currently works as lawyer for corporate law/M&A at CMS Hasche Sigle.
